Please read these Terms of Service (collectively with our Privacy Policy, the "Terms") carefully before using the Zylon Studio website (the "Site") and the services, features, content, or applications offered by Zylon Studio ("we", "us", or "our"). These Terms govern your access to and use of our digital platforms and the purchase of our physical goods. By accessing the Site, you acknowledge that you have read, understood, and agree to be legally bound by these extensive and comprehensive Terms. If you do not agree to these Terms, you must immediately cease all access and use of the Site.

1. Introduction & Acceptance of Terms

Welcome to Zylon Studio, a premium provider of bespoke, gallery-quality framed artwork, diecast scale model displays, sports memorabilia posters, and related physical goods. These Terms constitute a legally binding agreement between you, whether personally or on behalf of an entity ("you", "User", "Customer"), and Zylon Studio. Your continued use of the Site, including the submission of any inquiries or the initiation of any transaction via our integrated WhatsApp communication channels, constitutes your unequivocal acceptance of these Terms in their entirety.

We reserve the right, at our sole and absolute discretion, to update, modify, add, or remove portions of these Terms at any time without prior individualized notice to you. Any such modifications shall be effective immediately upon being posted on this page. Your continued use of the Site following the posting of modifications will mean that you accept and agree to the changes. You are strongly advised to periodically review this page to ensure your continued compliance and awareness of our operational guidelines.

2. Eligibility and Restrictions

By using this Site, you represent, warrant, and covenant that you are at least eighteen (18) years of age, or the legal age of majority in your jurisdiction of residence, and that you possess the legal capacity and authority to enter into a binding contractual agreement. If you are accessing the Site on behalf of a corporation, limited liability company, or other legal entity, you represent and warrant that you have the requisite authority to bind such entity to these Terms.

Use of the Site is strictly restricted to lawful purposes. You may not use our products or services for any illegal or unauthorized purpose nor may you, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws, consumer protection laws, and export control regulations). Any breach or violation of these restrictions will result in an immediate termination of your access to our Services and may subject you to civil and criminal liabilities.

3. Products, Pricing, and Availability

Zylon Studio prides itself on delivering meticulously crafted physical products. We make every conceivable effort to display the colors, textures, dimensions, and specifications of our products as accurately as possible on the Site. However, because the actual colors you see will depend on your monitor, mobile display, and ambient lighting, we cannot unconditionally guarantee that your device's display of any color will be perfectly accurate. All physical dimensions are subject to minor manufacturing tolerances.

All prices displayed on the Site are subject to change at any time without prior notice. While we strive for perfect accuracy in our pricing matrices, typographical errors, system glitches, or delayed database synchronizations may occasionally result in incorrect pricing. In the event a product is listed at an incorrect price, we reserve the right, at our sole discretion, to refuse or cancel any orders placed for that product, regardless of whether the order has been confirmed or negotiations have commenced.

Product availability is strictly subject to inventory levels, raw material acquisition timelines, and artisanal assembly constraints. We reserve the right to discontinue any product at any time. Any offer for any product or service made on this Site is void where prohibited by applicable law.

4. Order Processing and Contract Formation

The presentation of products on our Site constitutes an invitation to treat, not a legally binding offer to sell. When you utilize the "Order Now" or "Checkout via WhatsApp" functionalities, you are submitting a formal offer to purchase the selected items from Zylon Studio.

All orders are routed through our official WhatsApp business channel. The initiation of a WhatsApp conversation does not constitute order acceptance. A legally binding contract for the sale of goods is only formed when an authorized representative of Zylon Studio explicitly confirms the order details, final pricing, and estimated delivery timeline in writing via WhatsApp, and confirms the receipt of any required advance payment.

We reserve the unconditional right to refuse, limit, or cancel any order you place with us. These restrictions may include orders placed by or under the same customer account, the same credit card/mobile banking account, and/or orders that use the same billing and/or shipping address. In the event that we make a change to or cancel an order, we will attempt to notify you by contacting the e-mail, phone number, or WhatsApp profile provided at the time the order was made.

5. Payment Terms and Processing

Due to the highly bespoke and personalized nature of our inventory, Zylon Studio currently processes payments via manual, off-platform methods. Acceptable payment methods typically include local Mobile Financial Services (MFS) such as bKash, Nagad, Rocket, and direct bank transfers. The exact payment details, account numbers, and required procedures will be securely communicated to you by our representatives during the order confirmation phase on WhatsApp.

Depending on the scale and customization requirements of the order, Zylon Studio may require a non-refundable advance deposit before commencing production or dispatching the goods. Full payment must be cleared and verified in our accounts prior to the final handover of the product to the logistics courier, unless a Cash on Delivery (COD) arrangement has been explicitly approved in writing by our management. You are solely responsible for ensuring the accuracy of transaction IDs and payment references provided to us.

6. Shipping, Delivery, and Risk of Loss

We currently offer nationwide shipping and delivery services across the designated territories of Bangladesh. We engage third-party logistics and courier companies to execute the physical transport of our products. While we meticulously package our frames using industrial-grade protective materials to mitigate transit damage, Zylon Studio shall not be held liable for any delays, logistical failures, or mishandling caused exclusively by the third-party courier.

Estimated delivery timelines provided during the order process are projections, not guarantees. Delays may occur due to adverse weather conditions, political unrest, supply chain disruptions, or other unforeseen logistical impediments.

The risk of loss and title for items purchased from Zylon Studio pass to you upon our delivery of the items to the carrier. It is your absolute responsibility to inspect the package upon receipt before signing the courier's delivery manifest. If the external packaging appears significantly damaged, you must document the damage photographically and explicitly note the damage on the delivery receipt before accepting the parcel.

7. Returns, Refunds, and Exchanges

Zylon Studio operates on a strict quality-control protocol. Because the overwhelming majority of our products are made-to-order, assembled by hand, and highly susceptible to degradation if subjected to multiple transit cycles, we generally operate a strict NO-RETURNS and NO-EXCHANGES policy for changes of mind, accidental purchases, or subjective dissatisfaction.

Defective or Damaged Goods: Exceptions to this policy are made strictly in the event that a product arrives with a catastrophic manufacturing defect or sustained severe, documentable damage during the initial transit. To be eligible for a replacement or refund, you must initiate a claim by contacting our WhatsApp support team within forty-eight (48) hours of the documented delivery timestamp.

Your claim must include high-resolution photographic and video evidence clearly demonstrating the defect or damage, alongside the original packaging materials. Upon our preliminary verification of the claim, you may be required to ship the defective item back to our atelier at your expense. If the defect is confirmed by our technical team, we will, at our sole discretion, either dispatch a replacement unit free of charge or issue a full refund to your original payment method. We reserve the right to reject any claim that lacks sufficient evidence or falls outside the 48-hour reporting window.

8. Intellectual Property Rights and License

The Site and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, proprietary images, video, and audio, and the design, selection, and arrangement thereof), are owned by Zylon Studio, its licensors, or other providers of such material and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

Zylon Studio grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Site for your personal, non-commercial use strictly in accordance with these Terms. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Site without our express prior written consent.

Third-Party Intellectual Property: Certain products sold by Zylon Studio may depict, reference, or incorporate elements that resemble real-world automotive designs, sports figures, or brands. Zylon Studio operates as an independent artisanal entity creating commemorative and aesthetic works. We make no claim of ownership, endorsement, or affiliation with any of the trademarked automotive brands, sports organizations, or individuals depicted. Such intellectual property remains the exclusive right of their respective owners.

9. User Conduct and Prohibited Activities

As a condition of your use of the Site, you agree not to use the Site for any purpose that is unlawful or prohibited by these Terms. You agree not to:

• Engage in any activity that could disable, overburden, damage, or impair the Site or interfere with any other party's use of the Site.
• Use any robot, spider, scraper, or other automated means to access the Site for any purpose without our express written permission.
• Introduce any viruses, trojan horses, worms, logic bombs, or other material which is malicious or technologically harmful.
• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Site, the server on which the Site is stored, or any server, computer, or database connected to the Site.
• Impersonate or attempt to impersonate Zylon Studio, a Zylon Studio employee, another user, or any other person or entity.
• Engage in abusive, harassing, or threatening behavior towards our staff during WhatsApp communications or customer support interactions.

10. Third-Party Links and Services

Our Site may contain links to third-party web sites or services that are not owned or controlled by Zylon Studio. Zylon Studio has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party web sites or services. You further acknowledge and agree that Zylon Studio shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods, or services available on or through any such web sites or services.

11. Disclaimer of Warranties

YOUR USE OF THE SITE, ITS CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE SITE IS AT YOUR OWN RISK. THE SITE, ITS CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

NEITHER ZYLON STUDIO NOR ANY PERSON ASSOCIATED WITH ZYLON STUDIO MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SITE. WITHOUT LIMITING THE FOREGOING, ZYLON STUDIO HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR PARTICULAR PURPOSE.

12. Limitation of Liability

IN NO EVENT WILL ZYLON STUDIO, ITS AFFILIATES OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SITE, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE SITE OR SUCH OTHER WEBSITES OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SITE OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT OR OTHERWISE, EVEN IF FORESEEABLE.

13. Indemnification

You agree to defend, indemnify, and hold harmless Zylon Studio, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms of Service or your use of the Site, including, but not limited to, your User Contributions, any use of the Site's content, services, and products other than as expressly authorized in these Terms of Service, or your use of any information obtained from the Site.

14. Dispute Resolution and Governing Law

All matters relating to the Site and these Terms of Service, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of Bangladesh without giving effect to any choice or conflict of law provision or rule.

Any legal suit, action, or proceeding arising out of, or related to, these Terms of Service or the Site shall be instituted exclusively in the federal or civil courts of Bangladesh located in Dhaka. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

15. Force Majeure

Zylon Studio shall not be liable for any failure or delay in the performance of its obligations under these Terms if such failure or delay is due to causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, pandemics, civil unrest, strikes, lockouts, supply chain breakdowns, governmental regulations, natural disasters, or catastrophic infrastructure failures. In the event of a Force Majeure occurrence, we shall be granted a reasonable extension of time to fulfill our obligations.

16. Severability and Waiver

No waiver by Zylon Studio of any term or condition set forth in these Terms of Service shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Zylon Studio to assert a right or provision under these Terms of Service shall not constitute a waiver of such right or provision.

If any provision of these Terms of Service is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Service will continue in full force and effect.

17. Modifications to Terms of Service

We reserve the right to revise and update these Terms of Service from time to time in our sole discretion. All changes are effective immediately when we post them, and apply to all access to and use of the Site thereafter. Your continued use of the Site following the posting of revised Terms of Service means that you accept and agree to the changes. You are expected to check this page from time to time so you are aware of any changes, as they are binding on you.

18. Termination

We may terminate or suspend your access to all or part of the Site immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Site will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
